THIS NDA OPERATES ALONGSIDE ATTORNEY-CLIENT PRIVILEGE. AamoAI acknowledges that information shared with its legal counsel is protected by attorney-client privilege under Indian law. This NDA provides an additional contractual layer of confidentiality protection, particularly for non-legal confidential business information disclosed to counsel in the course of obtaining legal advice. It also binds non-attorney staff at the law firm who may access AamoAI's confidential information.
NON-DISCLOSURE AGREEMENT — LEGAL COUNSEL
This Non-Disclosure Agreement ('Agreement') is entered into as of the date of execution below ('Effective Date') by and between AamoAI™, [Registered entity name], having its registered office at [Address, Jodhpur, Rajasthan] ('AamoAI', 'Client', 'Disclosing Party') and [Law firm / Advocate full name and bar registration], having its office at [Address] ('Counsel', 'Receiving Party').
AamoAI engages Counsel to provide legal services including: [specify — e.g., review of privacy policy and terms of service / trademark filing / DPDP Act compliance / corporate legal advisory / NDA review and IP strategy / litigation support] ('Legal Services'). In connection with providing the Legal Services, Counsel will receive AamoAI's Confidential Information.
1. Confidential Information
'Confidential Information' in this Agreement means all information disclosed by AamoAI to Counsel in connection with the Legal Services, including:
- All business information, financial data, investor details, cap table, and strategic plans
- Platform architecture, clinical algorithms, ICMR RDA 2024 implementation, IFCT data methodology, and source code
- User data, client data, and any personally identifiable information of AamoAI's users or clients — this is Sensitive Personal Data subject to the DPDP Act 2023
- Partnership agreements, vendor contracts, term sheets, and all commercial agreements
- Legal disputes, potential claims, regulatory concerns, and compliance matters
- Intellectual property — patent applications, trademark filings, trade secrets, and proprietary methodology
- All communications, documents, data, and information shared with Counsel in the course of the Legal Services
2. Obligations of Counsel
Counsel agrees to:
- Hold all Confidential Information in strict professional confidence consistent with the Bar Council of India Rules and applicable professional ethics standards, and additionally as specified in this Agreement.
- Use Confidential Information exclusively for providing the Legal Services to AamoAI and for no other purpose whatsoever.
- Not disclose Confidential Information to any person outside the law firm without AamoAI's express written consent, including to co-counsel, barristers, experts, or other advisors engaged in connection with the Legal Services.
- Ensure that all members of Counsel's firm who access Confidential Information — including associates, paralegals, and support staff — are aware of its confidential nature and bound by equivalent obligations.
- Implement appropriate file security, access controls, and document management procedures to prevent unauthorised access to AamoAI's files.
- Not retain copies of Confidential Information beyond what is required for the provision of the Legal Services and for Counsel's professional record-keeping obligations.
3. Health Data — Special Professional Obligations
AamoAI's platform involves processing of patients' and consumers' health data. Counsel may receive such data in the course of providing Legal Services (for example, in connection with DPDP compliance advice or data breach matters). Counsel agrees:
- To treat all health data of AamoAI's users as Sensitive Personal Data subject to the IT (SPDI) Rules 2011 and the DPDP Act 2023.
- Not to retain health data beyond the minimum period required for the specific Legal Services matter.
- To store health data only in encrypted form and to delete it securely upon conclusion of the relevant matter.
- To notify AamoAI immediately if Counsel becomes aware of any security incident involving AamoAI's user health data in Counsel's possession.
4. Conflict of Interest
Counsel represents and warrants that as of the Effective Date, Counsel does not represent any client whose interests are adverse to AamoAI's in any matter related to the Legal Services. Counsel agrees to notify AamoAI immediately upon becoming aware of any actual or potential conflict of interest and to take appropriate steps to manage or eliminate such conflict in accordance with Bar Council of India Rules.
Counsel specifically agrees not to accept any engagement from a competitor of AamoAI in the Indian clinical nutrition, digital health, or food technology space without AamoAI's prior written consent, for the duration of this Agreement and for one (1) year after its termination.
5. Return of Documents
Upon conclusion of the Legal Services or upon AamoAI's written request, Counsel shall: return all original documents and materials provided by AamoAI; destroy or securely delete all copies, summaries, and extracts of Confidential Information; and provide written confirmation of the same within thirty (30) days — except to the extent Counsel is required to retain records under applicable professional rules or law.
6. Privilege Preservation
6.1 Both Parties acknowledge that communications between AamoAI and Counsel made for the purpose of obtaining or providing legal advice are protected by attorney-client privilege under Indian law.
6.2 The existence and terms of this Agreement, and the Legal Services provided hereunder, shall be treated as privileged and confidential. Neither Party shall disclose the contents of legal advice provided under this Agreement in any legal, regulatory, or arbitration proceeding without the other's consent, except as required by law.
6.3 AamoAI's disclosure of Confidential Information to Counsel shall not constitute a waiver of any privilege, trade secret protection, or other applicable protection.
7. Term and Survival
This Agreement commences on the Effective Date and survives indefinitely with respect to information disclosed in connection with the Legal Services, subject to Counsel's professional obligations of confidentiality which are of indefinite duration. Specific obligations regarding return of documents apply upon conclusion of each matter.
8. Governing Law and Professional Standards
This Agreement is governed by the laws of India. Both Parties acknowledge that Counsel's obligations are also governed by the Bar Council of India Rules of Professional Conduct and Etiquette. In the event of any conflict between this Agreement and Counsel's professional obligations, Counsel's professional obligations prevail.
Any dispute arising from this Agreement shall be subject to the jurisdiction of the courts of Rajasthan, India. The Parties may also seek resolution through the Bar Council's disciplinary mechanism for matters involving professional conduct.

SCHEDULE A — Information Eligible for Stamp Duty Exemption (Rajasthan)
Under the Rajasthan Stamp Act 1998, NDAs are stampable instruments. The following guidance is provided for reference — confirm with your legal counsel for the applicable stamp duty in your specific transaction:
- Non-Disclosure Agreements that do not involve a financial consideration are typically stampable at the minimum stamp duty rate applicable in Rajasthan — currently ₹100–500 depending on the instrument classification. Confirm current rates with a Rajasthan-registered advocate.
- NDAs executed electronically may have different stamp duty treatment under the IT Act 2000 and the Indian Stamp Act 1899 as applicable in Rajasthan — confirm before using e-signatures for these instruments.
- All four NDAs in this suite should be executed on appropriately stamped paper or e-stamped as applicable before being relied upon in any legal proceeding.
